About Company
- Capital Infra Trust (Erstwhile National Infrastructure Trust) was established on 25th September 2023 as an irrevocable trust pursuant to the trust deed under the provisions of the Indian Trusts Act, 1882. The Trust is registered as an Indian infrastructure investment trust with SEBI. Capital Infra Trust is an infrastructure investment trust established to acquire, manage and invest in a portfolio of infrastructure assets across sectors and/or securities of companies engaged in the infrastructure sector.
- The Sponsor Gawar Construction Limited is an infrastructure development and construction company, with 15+ years of experience, engaged in the construction of road and highway projects across 19 states in India, for statutory authorities including National Highway Authority of India (NHAI), Ministry of Road Transport & Highways (MoRTH), Military Engineering Services (MES) and Central Public Works Department (CPWD). The Sponsor has since 2008 undertaken over 100 road construction projects.
- The Capital Infra Trust will own 9 Initial Portfolio Assets having an aggregate length of ~ 682.425 kms and 2,059 kms lane located on national highways networks across 7 states in India. The projects are located on national highway networks that experience both commercial and passenger vehicular traffic.
- The Initial Portfolio Assets consist of 9 geographically diversified operational HAM assets located across 7 states of India, namely, Haryana, Rajasthan, Bihar, Uttarakhand, Himachal Pradesh, Madhya Pradesh and Karnataka. The Concession Agreements of the Project SPVs are also temporally diverse and are expected to expire at different times. The residual terms of the operations period range between 10.09 years to 13.84 years.
- The net distributable cash flows of the Trust (the “Distributable Income”) are based on the cash flows generated by it from the underlying operations undertaken by the Project SPVs. In terms of the SEBI InvIT Regulations, the Project SPVs shall distribute not less than 90% of the net distributable cash flows to the Trust, proportionate to the Trust’s holding in the Project SPVs.
- As on date the Sponsor of Capital Infra Trust, is currently developing 17 HAM assets consisting of ~ 546.164 km of roads across 11 states in India. Capital Infra Trust’s access to existing ROFO SPVs and future road assets of its Sponsor will be an important source of the Trust’s growth in the future. Further the trust also plans to acquire road assets from third parties.
- The Trust has received a rating of ‘Provisional CRISIL AAA/Stable (Assigned) ’from Crisil Ratings Limited for the Trust NCD(s) and proposed long term bank loan facility on November 11, 2024.

Objects of the Issue
The Offer Proceeds will be utilised towards the following objects
- Providing loans to the Project SPVs for repayment/pre-payment of external borrowings, in part or in full from the financial lenders (including any accrued interest and prepayment penalty); and
- Providing loans to the Project SPVs for repayment of unsecured loans availed by the Project SPVs from the Sponsor.

- If the share aren’t allotted the blocked funds will reflect back into your account.
